Stock Option Plans
Our corporate philosophy "entrepreneur in the enterprise" implies not only that our employees are driven by a spirit of entrepreneurial responsibility but that they also have a stake in the company's performance. The overall remuneration package for Group executives and the members of the Management Board has been linked to the performance of the share price through stock option plans.
Fresenius already introduced stock option plans in 1998 and 2003, each of them issuing options for a five years period.
On May 21, 2008 the Annual General Meeting approved a new stock option plan (Stock Option Plan 2008). Details of the Stock Option Plan 2008 are included in the agenda items 8 and 9.
With the change of legal form into a KGaA (Kommanditgesellschaft auf Aktien - public partnership limited) and the unification of share class as of January 28, 2011, only ordinary shares will be delivered under the stock option plans. The number of options and shares to be delivered remain unchanged.
Information on the options issued, the shares subscribed and the conditional capital authorized to cover the Stock Option Plans can be found in our quarterly and annual reports.
